These Terms govern your use of Bank of Bali. By creating an account or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Bank of Bali (the "Service"), you ("User", "you") enter into a binding agreement with Bank of Bali ("we", "us"). You confirm you have read, understood, and accept these Terms, the Privacy Policy, the Cookie Policy and the AML/KYC Policy.

2. The Service

Bank of Bali is a privacy-first, non-custodial Monero (XMR) wallet that also exposes:

  • Multi-asset swaps via third-party liquidity aggregators (e.g. ChangeNOW).
  • Fiat on-ramp via licensed partners (e.g. Guardarian).
  • Merchant payment gateway and invoicing.
  • Carbon-offset retirement via Toucan/Klima.
  • OTC desk for high-volume execution (introductory; trades are executed by licensed counterparties).

The Service is provided as-is; we are a technology platform, not a bank, broker-dealer or money-services business in your jurisdiction unless expressly licensed.

3. Eligibility

You must be at least 18 years old, legally capable of entering into a contract, not a resident of a sanctioned jurisdiction (e.g. North Korea, Iran, Syria, Cuba, the Crimea region), and not listed on any government sanctions/PEP/terrorism list (OFAC, UN, EU, UK, HM Treasury).

4. Account & seed phrase

You are solely responsible for safeguarding your password, your 2FA codes and — above all — your 25-word Monero seed phrase. We never see, store, or transmit your seed in plain text. If you lose it, your funds are irrecoverable. We will not ask for your seed; anyone who does is attempting fraud.

5. Non-custodial nature

You retain exclusive ownership and control of your private keys. We do not have access to your funds and cannot freeze, seize, reverse, or recover them. Wallet operations are signed locally and broadcast directly to the Monero network.

6. Fees & third-party rates

Bank of Bali may charge a transparent platform fee, displayed before you confirm any transaction. Swap rates, network fees, and fiat on-ramp processing fees are set by the relevant third-party provider and quoted in real time. By confirming a transaction, you accept the displayed rate.

7. AML/CTF & sanctions

Bank of Bali applies risk-based AML and counter-terrorism-financing controls. We may, at our discretion: (a) request enhanced due-diligence (KYC) for transactions over $1,000 or where risk indicators are present; (b) refuse, delay or reverse any transaction we suspect of being unlawful; (c) report suspicious activity to competent authorities. 8. Risk disclosure

Crypto assets are volatile and may lose all value. Monero is a privacy coin and may be restricted, delisted, or banned in certain jurisdictions — it is your responsibility to verify legality where you reside. Blockchain transactions are irreversible. Third-party providers may have outages or rejection of trades. You acknowledge and accept these risks.

9. Prohibited use

You may not use the Service to: (a) launder money, finance terrorism or proliferate weapons; (b) evade sanctions; (c) defraud, deceive, harass, dox or harm any person; (d) reverse-engineer the Service, scrape it, or operate bots/automated abuse; (e) circumvent rate limits, geographic blocks or security controls; (f) infringe intellectual property; (g) trade for or on behalf of a sanctioned person or entity.

10. Intellectual property

The Service, including the "Bank of Bali" name and logo, the gold-tile mark, the pixel-art "Bank Floor" UI, the website, and the underlying code, are owned by Bank of Bali and protected by copyright, trademark and trade-secret laws. You receive a limited, revocable, non-exclusive licence to use the Service for personal/business purposes consistent with these Terms.

11. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or accuracy of third-party data. We disclaim all such warranties to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Bank of Bali, its officers, directors, contractors and affiliates shall not be liable for any indirect, incidental, consequential, special or punitive damages, loss of profits, loss of crypto assets, loss of data, business interruption, or any damages arising from third-party provider outages or chain reorgs. Our aggregate liability for any direct damages is limited to the greater of (a) US$100 or (b) the total platform fees you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Bank of Bali from any claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Service, or your violation of any third-party right.

14. Termination

We may suspend or terminate your account at any time, with or without notice, for breach of these Terms, suspected fraud, sanctions risk, or where required by law. You may close your account at any time by emailing hello@bankofbali.com. Surviving provisions (IP, liability, indemnity, law) outlive termination.

15. Changes

We may amend these Terms; the "Last updated" date will reflect any change. Material changes will be emailed to account holders at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law (Seychelles)

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Seychelles, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

17. Arbitration & disputes

Any dispute, controversy or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Seychelles International Arbitration Centre (or, where unavailable, the Singapore International Arbitration Centre as a fallback) under its Rules in force at the time. The seat shall be Victoria, Seychelles; the language shall be English; the tribunal shall consist of one arbitrator. Notwithstanding the foregoing, either party may seek urgent injunctive relief in any court of competent jurisdiction.

Class-action waiver. To the maximum extent permitted by law, disputes must be brought in your individual capacity, not as part of a class or representative action.
